Terms of Service

These Terms govern use of the CircleSquare platform (website and mobile apps) and all features and services offered through it.
Provider

These Terms apply to all users, whether acting as players/participants or as clubs/organisers.
Roles
CircleSquare operates a SaaS platform for organising bookings, matches, tournaments and events, including technical payment processing.
- Users are anyone using the platform.
- Players/participants make bookings or take part in matches, events or tournaments.
- Clubs/event organisers are the natural or legal persons offering and running matches, tournaments, events or court bookings through CircleSquare.
CircleSquare is not an organiser
We do not own or operate sports facilities, do not run matches, tournaments or events ourselves, and do not set game or competition rules. The organiser is solely responsible, and the sole contracting party to participants, for participation terms, delivery, safety, rules and refunds.
Two separate contracts
- A platform agreement between the user and CircleSquare, covering use of the software, infrastructure and payment processing.
- An event, tournament or booking agreement between the participant and the organiser, covering participation itself.
CircleSquare acts solely as a technical service provider and platform intermediary.
Registration
Certain features require registration. Users must provide accurate and complete information and keep credentials confidential. Generally one account per person is allowed. Automated (bot) registrations are not permitted. Users are responsible for all activity on their account.
Acceptable use
The platform may only be used within applicable law and these Terms. The following is prohibited:
- infringing copyright, trademark or personality rights
- misleading or false information
- abusive use, including spam, manipulation and fee circumvention
- technical attacks or security breaches
We may remove content, restrict features, or suspend accounts for violations.
User content
Users retain rights to their own content. Users grant CircleSquare a non-exclusive, worldwide, royalty-free licence to store, process and display content as necessary to operate the platform. Users confirm they are entitled to use and publish their content.
Organiser obligations
Organisers must provide accurate and complete event information (price, time, location, rules, cancellation deadlines), run events properly, comply with safety, insurance and permit requirements, and independently meet legal obligations (for example taxes). The organiser is solely responsible for the content, delivery and handling of their events.
Sport participation at own risk
Participation in sporting activities (for example pickleball, padel, tennis) is at the participant's own risk. Participants confirm they are medically fit, act responsibly, and follow the organiser's instructions. CircleSquare is not liable for injuries, accidents, property damage, or the conduct of other participants or organisers.
Pricing, subscriptions and transaction fees
Certain features are paid, offered as monthly or annual subscriptions or additional feature packages. Details (price, term, cancellation) are shown at checkout, in the pricing plan, or in the dashboard.
CircleSquare may additionally or alternatively charge transaction fees on bookings and event/tournament registrations. These are shown transparently at checkout, represent payment for the platform service, and are not part of the organiser's ticket price. CircleSquare may combine subscriptions and transaction fees. There is no entitlement to a particular fee model.
Payment processing
Payments are handled via third-party providers (for example Stripe, PayPal, Apple Pay, Google Pay). CircleSquare does not store full payment data. Payouts to organisers follow defined payout cycles, less agreed platform and payment fees.
Cancellations and refunds
Refunds follow the organiser's terms, shown before booking. Platform and payment fees may be non-refundable in whole or part where communicated transparently. If an organiser cancels, they decide on refund or replacement. CircleSquare only provides the technical processing.
Liability
Liability is unlimited for intent and gross negligence. For slight negligence, liability applies only for breach of material contractual obligations. There is no liability for events, tournaments or sporting performance. Where permitted, liability is capped at platform fees paid in the preceding 12 months.
Availability and changes
We aim for high availability but cannot guarantee uninterrupted use. We may further develop, adjust or discontinue features, and carry out maintenance.
Termination
Users may terminate their account at any time. Subscriptions may be monthly or annual and cancelled in line with their terms. Already completed bookings or events are unaffected by termination.
Privacy
Personal data is processed per our Privacy Policy, which forms an integral part of these Terms.
Changes
We may amend these Terms. Changes apply to future use from publication.
Governing law and jurisdiction
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Consumers retain the protection of mandatory provisions of their country of residence. For business users, where permitted, the place of jurisdiction is Berlin, Germany.
